FSAI Solutions – Terms of Service

Effective Date: 02/10/2025

By accessing or using our website https://www.fsaisolutions.com// (the “Website”) or any of our services, you agree to comply with and be bound by the following Terms and Conditions (the “Terms”). If you do not agree to these Terms, you must not use the Website or our services.

Ownership and Permissions

All content, including but not limited to text, images, graphics, and software, available on the Website (collectively, the “Content”) is owned by or licensed to FSAI Solutions. The Content is protected by copyright, trademark, and other intellectual property laws.

You may not use, reproduce, distribute, or create derivative works from any of the Content without prior written permission from the owners of FSAI Solutions (Hayden or Carlos). Unauthorized use may result in legal action.

Solicitation of Services

By providing your contact information or signing up for a meeting through the Website, you consent to receive communications from FSAI Solutions. These communications may include emails, phone calls, and messages regarding our services, promotions, and other relevant information.

Fees & Subscription
Custom Chatbot Purchase & Ownership
One-time Payment: $2,000 (non-refundable)
You receive full ownership of the chatbot’s code upon purchase.
The chatbot code is transferable.
All sales are final and payments are non-refundable due to access to intellectual property upon purchase.

Monthly Service Fee
$250 per month
Includes chatbot service and 110,000 tokens for API usage (resets monthly, no rollovers).
If token usage exceeds 110,000 tokens per month, overage fees apply:
$10 overdraft fee
Additional token costs determined on a case-by-case basis.
Cancel Anytime: If you cancel your monthly service fee, chatbot services will be terminated immediately.

Client’s Responsibilities
Communicating marketing needs and providing marketing materials.
Must provide payment method for ad account ad spending.
Must pay monthly ad account management pricing based on client’s monthly ad spend.

Client’s Activities
Provide necessary information and materials for marketing.
Provide Monthly Ad Spend Payment and Ad Account Management Payment.

Payment Terms
Monthly payments are due after the onboarding form is completed.
Monthly payments are due based on agreed dates.

NO REFUND POLICY
All sales are final. By signing this Agreement, Client acknowledges that FSAI Management Services LLC has a strict no refund policy. No refunds will be issued under any circumstances, including partial services or early termination.

One-Time Setup Fee
$10,000 (covers inbound and outbound AI agent setup).

Monthly Fee
$2,000 (includes ongoing support & maintenance).

HIPAA Compliance Fee (if required)
$600 per month, per customer.

Additional Terms (if any)
Client agrees to provide necessary information and materials for marketing.
Client agrees to provide Monthly Ad Spend Payment and Ad Account Management Payment.
Client agrees to provide their own payment method for account setups, service accounts, and usage fees.
Client provides their own payment method for Twilio, Go High Level (GHL), and Synthflow.
Client agrees to give card as payment method to be put on file for monthly usage fees.
Client agrees to monthly charges to their payment method of choice.
Client agrees to handle all payments and pay Service Provider directly for all fees. Payments will be made on a monthly basis, due on the first day of each month. Any late payments beyond 7 days will be subject to a 5% late fee.

Failure to Pay

Failure to make payments as outlined may result in the suspension or termination of services. All payments must be made in accordance with the terms specified in the invoice.

Intellectual Property (IP) Rights
FSAI Solutions is a Software as a Service (SaaS) company.
We own all intellectual property rights related to our chatbot services and technology.

Disclaimer of Warranties

FSAI Solutions provides the Website and services “as is” and “as available.” We make no warranties, expressed or implied, regarding the Website or its Content, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

To the fullest extent permitted by law, FSAI Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Your use of or inability to use the Website or services.
Unauthorized access to or use of our servers and/or personal information.
Any bugs, viruses, or malicious software transmitted through our Website.

Changes to Terms

FSAI Solutions reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Website. Your continued use of the Website and services after changes are posted means that you accept the updated Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which FSAI Solutions operates, without regard to conflict of law principles.
